4. Client Responsibilities
a. Cooperation: To ensure successful software development, you agree to provide us with timely and accurate information, feedback, and cooperation throughout the project.
b. Content and Licenses: If you provide us with any content or third-party software to be incorporated into the project, you represent that you have the necessary rights and licenses to use and integrate such content.
5. Payment and Invoicing
a. Fees: The fees for our Services will be outlined in the project proposal or contract. You agree to pay the agreed-upon fees according to the payment schedule specified.
b. Late Payments: In the event of late payments, we reserve the right to suspend work until payment is received or terminate the project if the issue persists.
6. Project Timeline and Changes
a. Timeline: We will work diligently to complete the project within the agreed-upon timeline. However, factors beyond our control may impact the delivery schedule, and we will communicate promptly if any delays occur.
b. Changes and Revisions: We understand that project requirements may evolve. Minor changes and revisions may be accommodated, but significant alterations may be subject to additional fees and timeline adjustments.
7. Warranty and Support
a. Warranty: We warrant that the software we develop will be free from defects and perform substantially in accordance with the agreed-upon specifications for a period of [warranty period, e.g., 30 days] from the date of delivery.
b. Support: During the warranty period, we will provide reasonable technical support and assistance related to the software's functionality and performance.
8. Limitation of Liability
To the extent permitted by law, CellFusion Inc. shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services.
9. Termination
Either party may terminate the project or ongoing services with written notice if the other party breaches these Terms. Termination shall not relieve the client's obligation to pay for work completed up to the termination date.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflicts of law principles. Any legal action arising out of or in connection with these Terms shall be brought exclusively in the federal or state courts located in CA, United States.
